Acceptance of These Terms
By accessing or using the Lite Spectrum website or services, you agree to these Terms of Service and any policies incorporated by reference. If you do not agree, do not use the applicable service.
Organizations that purchase or implement Lite Spectrum may also enter into an order form, subscription agreement, enterprise agreement, data processing agreement, business associate agreement, or other written terms.
Eligibility & Authority
You may use Lite Spectrum only if you are legally able to enter into these Terms. If you use the service on behalf of an organization, you represent that you are authorized to act for that organization and to bind it to the applicable terms.
The public website and business services are intended for professional and organizational use, not for use by children as independent account holders.
Accounts & Access
Where the authenticated product requires an account, users are responsible for maintaining the confidentiality of credentials and for activity occurring through their accounts, except to the extent caused by Lite Spectrum's own acts or omissions.
Organizations are responsible for assigning appropriate roles, removing access when it is no longer needed, and ensuring their authorized users comply with applicable terms and policies.
Product permissions should be configured according to user responsibilities, location, client assignment, and organizational policies.
Plans, Fees & Billing
Pricing, included features, usage allowances, user limits, locations, support levels, and billing intervals may vary by plan and order.
Unless an applicable order states otherwise, fees are due according to the billing terms presented at purchase. Taxes, implementation fees, third-party charges, or optional services may be additional where applicable.
Any annualized pricing shown on the website is marketing information until it is confirmed in an actual checkout flow, order form, or signed agreement.
Acceptable Use
You may not use Lite Spectrum to:
- Violate applicable law or the rights of another person.
- Access data, accounts, locations, clients, or systems without authorization.
- Attempt to bypass security, permissions, usage controls, or technical restrictions.
- Introduce malware, harmful code, automated abuse, or disruptive traffic.
- Reverse engineer or extract source code except where such restriction is prohibited by law.
- Use the service to generate fraudulent, deceptive, falsified, or intentionally misleading clinical or business records.
- Upload information you do not have the right or authorization to process.
Customer Data
As between Lite Spectrum and the customer, the customer retains its rights in data submitted to or created through the service, subject to the rights necessary for Lite Spectrum and its authorized providers to host, process, secure, support, and operate the service.
Customers are responsible for ensuring that they have a lawful basis, required notices, permissions, authorizations, or other rights needed to provide data to the service.
Product-specific data ownership, export, deletion, retention, migration, and return obligations should be addressed in the applicable subscription or enterprise agreement.
AI-Assisted Features
Lite Spectrum may offer AI-assisted features, including AI Lite Notes. AI-generated content may be incomplete, inaccurate, inconsistent, or unsuitable for a particular clinical, operational, billing, or legal purpose.
Users must review AI-generated content before relying on, finalizing, submitting, signing, billing from, or otherwise treating it as an authoritative record.
AI Lite Notes is intended to assist with drafting and workflow organization. Providers remain responsible for clinical judgment, accuracy, completeness, review, and final documentation.
Customers should establish internal policies for appropriate AI use, review requirements, and authorized data inputs.
Healthcare Data & Regulated Information
The public website, demo forms, and general contact channels are not intended for protected health information, patient records, clinical notes, or other regulated healthcare data.
If the authenticated product is configured to create, receive, maintain, or transmit protected health information on behalf of a HIPAA covered entity or business associate, additional contractual and operational requirements may apply, including a Business Associate Agreement where legally required.
Customers must not assume that a feature, vendor, integration, or deployment is suitable for regulated health information unless Lite Spectrum has expressly confirmed the applicable arrangement in writing.
Intellectual Property
Lite Spectrum and its licensors retain all rights in the website, software, product interfaces, branding, design systems, documentation, features, and other proprietary materials, excluding customer-owned data and third-party materials.
Subject to applicable agreements, customers receive a limited, non-exclusive, non-transferable right to use the service during the applicable subscription term for authorized internal purposes.
Third-Party Services & Integrations
Lite Spectrum may connect with third-party services for hosting, authentication, databases, communications, AI, analytics, scheduling, payments, or other functions.
Third-party services may have their own terms, privacy notices, service limits, and availability. Lite Spectrum is not responsible for third-party products except to the extent expressly stated in an applicable agreement.
Availability, Beta Features & Product Changes
Features shown on the website may be planned, in development, beta, limited to certain plans, or subject to change before commercial release.
Lite Spectrum may modify, improve, replace, or discontinue features as the product evolves. Material service commitments for paid customers should be defined in the applicable order or agreement.
Product visuals, interface examples, metrics, sample client names, and workflow demonstrations on the marketing website are illustrative and may not represent a final production feature.
Suspension & Termination
Lite Spectrum may suspend or restrict access when reasonably necessary to address security risks, suspected misuse, nonpayment, legal requirements, or material violations of applicable terms.
Subscription cancellation, termination rights, renewal, data export, and post-termination access should be governed by the applicable order or service agreement.
Disclaimers
To the maximum extent permitted by law, the public website and any preview, beta, or evaluation features are provided on an "as available" basis without warranties that they will be uninterrupted, error-free, complete, or suitable for every workflow.
Lite Spectrum is a software platform. It does not provide medical advice, legal advice, billing advice, credentialing advice, or independent clinical services.
Limitation of Liability
Any limitation of liability for paid services should be stated in the applicable subscription, enterprise, or order agreement and must comply with applicable law.
For public website use, Lite Spectrum should not be liable for indirect, incidental, special, consequential, or punitive damages to the extent such limitations are enforceable.
Indemnification
Any customer indemnification obligations relating to misuse, unlawful data, third-party claims, regulated healthcare information, intellectual property, or unauthorized access should be defined in the applicable commercial agreement rather than assumed solely from the public website.
Governing Terms & Disputes
Governing law, venue, dispute procedures, arbitration, class-action waivers, and related provisions should be finalized with legal counsel before commercial launch and reflected in the version of these Terms presented to actual customers.
Until those provisions are finalized, this draft intentionally does not select a jurisdiction or require arbitration.
Changes to These Terms
Lite Spectrum may update these Terms as the website, services, pricing, vendors, or legal requirements change. The updated effective date should be posted at the top of this page.
Material changes affecting existing paid customers may require additional notice under the applicable agreement or law.
